The principal purpose of the White Rock Property Owners Association, Inc. (WRPOA) is the maintenance of the roads within the association. As stated in the Bylaws, as originally set forth:
Purpose. The purpose of the Corporation shall be to maintain the roads as stated in the
Covenants. The Corporation shall participate in projects for the welfare and betterment
of the community and its members, and as it is financially able, shall purchase property
to provide a park, playground, and recreational facilities.
This portion of the Bylaws has never been amended, and thus the purpose stands as originally incorporated. Prior to the recording of the sale of property to any individuals, RB Johnston, Jr.and the Johnston family, Mountain Resource Company, Inc. and their predecessors established a series of rights of way and private road systems. By recorded document in the Register of Deeds offices in Caldwell, Watauga and Wilkes counties of North Carolina they established which of the rights of ways were to be maintained by WRPOA. They also excluded some rights of way from maintenance by WRPOA, set up additional Property Owners Associations (POAs) such as Little Rock Canyon Property Owners Association, and subsequently either made properties subject to one, multiple or no POAs by the inclusion of wording so signifying within the body of the deed prior to recordation. Such covenants run with the property and once established are legally binding upon the current and future owners.
A committee of the Board of Directors was formed to review the Covenants and Bylaws and recommend changes to the Bylaws to bring them in conformance with the Covenants - the Covenants are the legal definitions that govern the association, and take precedance over the Bylaws.
